To set up your company in Poland, you need to choose the appropriate legal structure for your business. Collect all required documents and get them certified.Sign the Articles of Association and submit your registration to KRS to complete the process. To register your company in Poland, you have two options: grant power of attorney to an attorney or use the electronic system S-24, which requires a valid Polish ID number and an e-signature EPUAP, which are also included in our service package. 
The most appropriate business entity for a foreigner is a limited liability company, also known as a spółka z ograniczoną odpowiedzialnością (sp. z o.o.) in Polish. Recent records indicate that approximately 90% of newly registered companies utilize an LLC structure.
The KRS register is the company registry of Poland where all companies are listed. The registry is available online, and its data can be reviewed free of charge. The S24 system is an ICT system that allows for the electronic registration of economic entities. PESEL is a number assigned to citizens or residents of Poland. It stands for “Universal Electronic System for Registration of the Population” and having this number is helpful in managing certain formalities, such as opening a company or bank account, registering for a doctor, or submitting your annual tax declaration.
1. Provide us with documents such as shareholders’ data, including a copy of the passport or incorporation documents if the shareholder is a legal entity. Also, please provide information about the company’s business activities by completing the registration form we will send you.
2. Send us the signed power of attorney and cooperation agreement that we will prepare for you.
3. To initiate the process, please make an advance payment of 50% of the total amount.
4. Please provide notarized copies of your passport with apostilles. We will need hard copies as well.
5. Once we have obtained a PESEL number for you, you will receive instructions on how to obtain the EPUAP. To do this, you will need to arrange an appointment at the Polish Consulate or Embassy.
6. Sign the incorporation documents that we have prepared using the EPUAP.
7. Pay the remaining amount.
8. Receive the extract from the National Court Register confirming your company’s registration in 7-14 working days.
9. Sign the application prepared by the Central Register of Real Beneficiaries using the EPUAP. Failure to report can incur a penalty of up to 1,000,000 PLN.

Nationality and residence are irrelevant in this matter. Mature individuals with clean criminal records can become directors of Polish companies.
The minimum share capital amount is 5,000 PLN, which is equivalent to approximately €1,200. This is a declarative amount and hence does not require any physical payment.
We provide our clients with two registration alternatives. The first option is an online registration process that typically takes between one to five business days to complete. The second option is regular registration that entails the notarization of the required documents and can take between 2-12 weeks for completion.
Company registration is just one of the conditions that will need to be met. You will have to prepare realistic business plan for your company and meet some additional conditions.

A person can acquire Polish citizenship by:

  • birth to parents, at least one of whom is a Polish citizen – right of blood,
  • birth or being found on the territory of Poland – right of the soil,
  • full adoption,
  • granting Polish citizenship by the President of the Republic of Poland,
  • recognition as a Polish citizen.

The President can grant Polish citizenship to any foreigner. The foreigner who is interested in acquiring Polish citizenship is ought to make a request. That requires filling an application form. The application shall be submitted personally, or by mail, with an officially certified signature. Documents issued in a foreign language require translation into Polish. The translation ought to be prepared by a sworn translator or a consul of the Republic of Poland.

Citizens of non-EU/EFTA countries need visa to enter Poland and stay in Poland. There are two types of visas:

  • Schengen Visa (marked with a C symbol)

The visa is issued when the planned stay on the territory of the Schengen area does not exceed 90 days within each 180-day period.

  • national visa (marked with a D symbol)

The visa entitles to entry and to a continuous stay in the territory of Poland or to several consecutive stays which jointly last longer than 90 days. The period of validity of a national visa cannot exceed 1 year.

Visa is not on par with a temporary residence permit. These are two different documents that a foreigner in Poland may apply for. At first the foreigner needs visa to enter the country and legally stay within its territory. Then he may apply for a residence permit which entitles him to live and work in Poland.

A residence card (karta pobytu) is a document confirming the identity of a foreigner during their stay in the territory of the Republic of Poland and entitling them, with a travel document, to cross the border multiple times without the need to obtain a visa.

The process and timeframe for obtaining a residence permit are as follows:

  1. Sending the application
  2. Waiting for submission – 3-4 months
  3. Preparation of documents
  4. Personal submission of documents
  5. Delivery of documents – monthly
  6. Signing the decision – 3-4 months after submission of documents
  7. Receiving the plastic card – up to 1-2 months after signing the decision.
 

The Residence Card, depending on the basis of acquisition (work, study, business, family reunification, etc.), can be issued for a period of 9 months to 3 years. This is a temporary residence permit and is not renewed after its expiration. To continue legal residence in Poland, it is necessary to reapply for a residence permit for any other purpose.
